The Ellison family's Paramount Skydance is set to take control of Warner Bros. Discovery in a deal with a $110 billion enterprise value, and a federal judge has now cleared the main legal obstacle. Paramount signed the merger agreement on February 27, 2026, at $31.00 per WBD share, backed by a committed $54 billion bridge loan (SEC 8-K). The costs fall on film and TV workers and on theater and cable customers. The states alleged that the merger would lower film output and raise prices. The settlement answers that harm with a five-year commitment to release 30 to 32 films a year, at least $1.5 billion in added domestic production, and a $47.5 million Workforce Fund for displaced workers. Missed film targets carry a $30 million penalty each (California AG). A Los Angeles County analysis cited by the WSWS projects about 10,360 job-years and $1.26 billion in wages at risk, a figure we did not check against a primary record [21]. California Attorney General Rob Bonta led a 12-state coalition in negotiating the settlement, and U.S. District Judge Araceli Martínez-Olguín approved it as a consent decree (consent decree). The primary record shows no tie between Paramount and either decider. The WSWS reports that Gov. Newsom and Mayor Bass pressed Bonta to settle after Paramount threatened to move its headquarters, and this is the only source for that claim [21].
